- Representing lenders and borrowers in asset-based lending, revolving loan and term loan credit facilities
- Serving as lender's counsel on real estate acquisition, development and construction loans for residential, commercial and industrial facilities
- Counseling in working capital financings and restructuring of troubled loans secured by real and personal property
- Representing buyers, sellers, lessors and lessees of commercial and industrial real estate
- Negotiating, preparing and reviewing transactional and financing documents and performing due diligence in stock and asset acquisitions and dispositions
- Serving as bond counsel to Virginia localities and authorities on tax-exempt and taxable bond issues
- Serving as issuer and bond counsel on industrial development revenue bond financings
- Serving as general counsel to industrial development authorities and water and sewer authorities
- Preparing ordinances, resolutions, organization documents and service agreements in connection with the formation of regional water authorities
- Negotiating and preparing incentive and performance agreements between localities and industrial or commercial prospects
