Mr. Huber’s primary areas of practice are corporate and tax law.
Experience
- Counseling corporations, LLCs, partnerships and other entities on various tax aspects of transactions, compliance and corporate governance, including mergers, acquisitions, debt and equity issuances, liquidations, reorganizations, dispositions and distressed/restructuring matters, as well as specific strategies and planning
- Providing corporate and partnership tax planning and development of efficient tax strategies
- Representing clients before the IRS and other domestic and foreign tax authorities in tax controversy, ruling requests and disclosure matters
- Advising business owners on succession and exit planning
- Developing and executing turnaround strategies including debt workouts, reorganizations and bankruptcy-related matters
- Advising clients on planned and completed transactions and general and special purpose tax structures
- Negotiating and structuring deal terms, financing, integration and other pre-transaction and post-transaction matters
- Advising clients on US domestic federal and SALT tax matters, along with inbound and outbound international US and local country tax issues
