Mr. Gallimore’s primary areas of practice are corporate law, energy law, natural resources law, and mergers and acquisitions. He is a fourth-generation coal miner, having worked both as a surface coal miner and in an administrative position in the coal industry prior to attending law school.

- Representing clients in merger and acquisition transactions, real estate transactions, secured transactions, and other corporate transactions
- Representing borrowers in various commercial loan transactions, including, without limitation, term loans from commercial banks, syndicated loans from commercial banks and private equity firms, mortgage loans, mezzanine financing, debt-to-equity conversions, asset-based lending (ABL) lines of credit and other revolving lines of credit, and equipment financing facilities and other vendor loans
- Representing lenders in various loan transactions, including, without limitation, seller (or owner financing), commercial term loans, mortgage loans, and mezzanine financing
- Providing legal representation to land companies, coal companies, and other clients with respect to coal leases and subleases, commercial property leases, solar leases, correlative property rights issues, and other real property matters
- Negotiating and drafting contract mining agreements, coal supply agreements, throughput agreements, employment agreements, blasting services agreements, trucking agreements, core drilling services agreements, equipment purchase and financing agreements, and other contracts on behalf of coal companies and contract miners
- Representing clients in selling and donating real property assets to governmental municipalities and economic development authorities
- Providing outside general counsel services to multiple corporate clients, including, without limitation, legal counsel with respect to corporate governance matters, employment matters, governmental regulatory permitting and compliance matters, loan compliance matters, contract disputes and other potential litigation issues, and other legal matters
- Forming corporations and limited liability companies, preparing articles of incorporation, articles of organization, bylaws, and operating agreements, drafting contingent and non-contingent restricted stock award agreements, drafting board resolutions, shareholder resolutions, manager resolutions, and member resolutions, preparing minutes for corporate board of directors and shareholders meetings, and preparing notices for annual and special shareholder meetings
- Representing corporate clients and individuals in civil litigation, condemnation actions, and administrative hearings
